Terms governing use of this website, partner-program materials, and access to Oqitor platform services.

Agreement

These Terms of Service are a legal agreement between you and Oqitor Tel Inc. They apply when you access this website, review Oqitor program materials, submit a form, or use any public-facing Oqitor digital property that links to these terms.

If you enter the Oqitor Partner Program, the signed Partner Agreement, commission schedule, order terms, and applicable platform policies govern the partner relationship. Those documents control over this website if there is a conflict.

About Oqitor

Oqitor provides a partner operating system for technology services distribution. The public website describes partner workflows, supplier access workflow, deal registration, quote coordination, pipeline visibility, account protection, commission visibility, and commission reconciliation.

Website content is informational. It is not a guarantee of supplier availability, deal approval, platform access, commission outcome, or program acceptance.

Eligibility and authority

You must be at least 18 years old and have authority to act on behalf of any organization you represent. If you submit information for a company, agency, partner, supplier, or other business, you confirm that the information is accurate and that you are authorized to provide it.

Partner applications

Submitting a partner application does not create a partnership, agency relationship, referral relationship, or right to access the Oqitor platform. Oqitor may accept, decline, pause, or request more information for any application.

Application information may be used to evaluate fit, confirm business identity, review technology-service experience, assess account base, and prepare a partner-program discussion.

Platform accounts

Platform access may require account approval, identity verification, agreement acceptance, and role-based permission assignment. You are responsible for keeping credentials secure and for all activity under your account.

You may not share credentials, bypass access controls, attempt to access data outside your permitted scope, or use platform information for any purpose outside the authorized Oqitor relationship.

Deal, quote, order, and commission records

Platform records may include accounts, contacts, opportunities, supplier-option requests, quotes, orders, commission records, adjustments, and payout-related status. These records are operational records, not standalone promises of supplier acceptance, order completion, or payment.

Commission rights, payout timing, account protection, claim handling, and dispute procedures are governed by the signed Partner Agreement, commission schedule, and applicable policy pages.

Supplier options and third parties

Oqitor may coordinate supplier options, quote context, order workflow, and commission records through distribution relationships and service providers. Third-party services remain responsible for their own products, service delivery, systems, and legal terms.

References to categories or workflows do not imply that every supplier, offer, location, or product line is available for every partner or opportunity.

Acceptable use

You may not misuse the website or platform, interfere with systems, upload harmful code, scrape at disruptive volume, misrepresent identity or authority, submit false records, attempt to access non-public data, or use Oqitor systems for unlawful activity.

Oqitor may suspend or restrict access if it reasonably believes activity creates security, legal, operational, or partner-program risk.

Confidentiality

Platform information, program economics, commission records, supplier-option workflow, non-public policies, and operational details may be confidential. You may use confidential information only for the authorized Oqitor relationship and may not disclose it except as permitted by agreement or law.

Intellectual property

The Oqitor name, ring mark, software, interface, page design, copy, graphics, data structures, workflows, and documentation are owned by Oqitor Tel Inc. or its licensors. No rights are transferred except the limited right to access and use Oqitor materials as permitted.

You may not copy, resell, reverse engineer, frame, or create derivative works from Oqitor software or materials unless a written agreement allows it.

Feedback

If you provide ideas, suggestions, or feedback, Oqitor may use them without restriction or compensation, provided we do not use your confidential information except as permitted by agreement.

Privacy and cookies

Personal information is handled under the Privacy Policy. Cookies and similar technologies are handled under the Cookie Policy. Those policies are incorporated into these Terms by reference.

Disclaimers

The website and public materials are provided as-is and as-available. Oqitor does not warrant that website content is error-free, that access will be uninterrupted, or that any public description will match a future platform state, supplier outcome, order result, or commission result.

Nothing on this website is legal, tax, accounting, financial, or business advice. You should review binding program documents and consult professional advisors before relying on any term that matters to your business.

Limitation of liability

To the maximum extent permitted by law, Oqitor Tel Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website or public materials.

For claims related only to public website use, Oqitor's aggregate liability will not exceed CAD $500. Partner-program, platform, order, and commission liabilities are governed by the applicable signed agreement.

Indemnity

You agree to indemnify and hold harmless Oqitor Tel Inc. from claims, losses, damages, liabilities, and expenses arising from your misuse of the website or platform, violation of these Terms, misrepresentation, unauthorized disclosure, or unlawful conduct.

Changes and availability

Oqitor may update website content, policies, product descriptions, workflows, and these Terms. The effective date will be updated when material changes are posted. Continued use after changes means you accept the updated terms.

Oqitor may modify, suspend, or discontinue any public website feature or platform feature, subject to any signed agreement that separately applies.

Governing law

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. Courts located in British Columbia will have exclusive jurisdiction unless a signed agreement states otherwise.
